Terms of Cooperation
These terms govern the process and procedures for providing website, e-commerce, and web application development services and related services. They are designed to make our cooperation transparent, fair, and focused on quality results.
1. Introductory provisions and definitions

- Client: An entrepreneur (natural or legal person) who orders the provider's services. The provider does not enter into contracts with consumers.
- Work: Website, online store, application, logo and brand manual, or other custom development service as specified in the Work Contract.
- Work Contract: A contract concluded between the provider and the client specifying the scope, price, and conditions of the work.
- Quotation: A document specifying the scope of work, individual services, total price, and estimated completion date.
The relationship between the provider and the client is governed by Czech law, in particular Act No. 89/2012 Coll., the Civil Code, as amended.
2. Cooperation process and ordering
Initial contact
- The client submits an inquiry via the contact form at www.webbie.cz or by email to info@webbie.cz
- The provider typically responds within 1 business day
Initial consultation
- The purpose is to clarify the client's goals, scope, requirements, and expectations
- The provider adapts to the client's preferred communication method (phone, online call, or other method as agreed)
- Google Meet or Microsoft Teams can be used for online consultations
- Remote access tools (e.g., AnyDesk or TeamViewer) may be used for remote management and technical support with the client's prior consent
Providing materials (questionnaire / brief)
- Before starting the work, the provider will ask the client to complete a questionnaire or provide materials according to a checklist
- The questionnaire or checklist will be sent to the client's email
- The client undertakes to provide truthful, complete, and current information and materials needed for the work
- If the client does not provide materials or they are incomplete, the completion deadline is extended proportionally
Quotation
- Based on the initial consultation and provided materials, the provider prepares a quotation tailored to the client's specific situation
- The quotation includes: scope of work, service specification, price, estimated completion date, additional services
Contract conclusion
- After approving the quotation, a Work Contract is drawn up
- The contract is concluded by signature of both parties in person or electronically, e.g., by email exchange
3. Payment terms
Price
- The price is set in the quotation and confirmed in the Work Contract
- All prices are quoted without VAT — the provider is not a VAT payer, unless stated otherwise
Deposit
- After signing the Work Contract, a deposit invoice of 50% of the total price is issued with a 14-day payment term
- Work begins after the deposit is credited to the provider's bank account
Final payment
- The remaining 50% is invoiced after completion and handover of the work
- The invoice is issued no later than the 10th day of the following calendar month after handover
- Payment term is 14 days from issue
Recurring services
- For recurring services (web hosting, technical management, website maintenance), billing is monthly or yearly as agreed
- Payment term is 14 days from issue
Additional work
- Client requirements beyond the original Work Contract are considered additional work
- Additional work includes: new subpages beyond the agreed limit, new features/integrations, additional language versions, major design changes after approval
- Pricing is set by a separate quotation based on complexity
Late payment interest
- In case of late payment, the client is obliged to pay statutory late payment interest
4. Work execution
- The provider begins work after the deposit is credited and minimum necessary materials are provided
Technical execution
- Source code is managed in a GitHub repository. Client access to the repository may be provided as agreed.
- The client can provide ongoing feedback on the current state
- After full payment, the client receives full access to the finished code
- Analytics setup (GA4, GTM, GSC) and advertising platform configuration are included per the agreed package
Client cooperation
- The client is obliged to provide necessary cooperation — especially materials (texts, photos, logo, access credentials), ongoing feedback, and approval of outputs
- Client cooperation is crucial for meeting deadlines and quality
Deadlines
- The estimated completion date is stated in the quotation or Work Contract
- If the client does not provide cooperation on time, the deadline is automatically extended
- If the provider is delayed due to its own reasons, the client may request a new deadline
5. Work handover
Launch
- After the client approves the final version, the provider deploys to production (client's domain) or hands over the code
- Handover includes implementation and testing of analytics tools
Acceptance
- The work is considered delivered when it is functional as specified and both parties confirm completion via email or handover protocol
- Access to all tools and the GitHub repository is handed over
Defect notification period
- The client must inspect the work and report any defects in writing within 15 days of handover
- If defects are not reported within this period, the work is deemed accepted without defects
6. Premium support
- Every Work Contract includes 3 months of free support from the handover date
- This support includes: fixing technical issues, minor content/design adjustments, analytics fine-tuning
- Minor adjustments include text changes, image replacement, and minor layout changes without structural changes
- Support does not cover new features or major changes. These are treated as additional work.
- After the 3-month period, a long-term management contract can be arranged
7. Copyright and licensing
Authorship
- The author of the work (design, graphics, custom source code) is the provider
- Moral rights of the author are inalienable and always remain with the author
License
- After full payment, the provider grants the client a non-exclusive license to use the work without time or territorial limitations
- The license includes operating, modifying, updating, and further developing the work for the client's needs
- The client may not resell the work as their own product unless explicitly agreed
Source code
- After full payment, the provider hands over source files and materials appropriate to the solution used
Third-party elements
- The work may contain third-party elements (fonts, photos, libraries, plugins, services). These are subject to their providers' license terms.
- The provider is not responsible for changes in their availability or license terms
Portfolio
- The provider has the right to use the finished work as a portfolio reference unless the client objects in writing at handover
- The provider may place a discreet "Made with love by Webbie" note in the website footer; the client may request its removal at any time
8. Domain, hosting, and analytics
Domain
- The domain is always registered under the client's name and account
- The provider may arrange domain registration upon request, but the owner is always the client
Web hosting
- The client may choose their own hosting solution or use hosting arranged by the provider
- Basic hosting starts from 990 CZK/year depending on scope
Analytics tools
- All analytics tools (GA4, GTM, GSC) are always set up under the client's account
- The client has full access to all data and settings
- The provider may have editor access for management and technical support purposes
- The client may revoke provider access at any time
9. Confidentiality and data protection
Confidentiality
- Both parties undertake to maintain confidentiality of all non-public information, trade secrets, and access credentials shared during cooperation
- The provider stores credentials securely and uses them only for contract fulfillment
- Credentials are retained during cooperation and 3 months after for support, then deleted unless legally required
Personal data protection
- Personal data is processed solely for contract performance in accordance with applicable legislation

Cookies and GDPR documentation
- The provider may prepare draft cookie policy and privacy policy documents. These are drafts and do not constitute legal advice.
- We recommend legal review before publication
- The client bears full responsibility for compliance with applicable regulations
Data Processing Agreement
- If the provider accesses personal data processed by the client during website management, a Data Processing Agreement (DPA) will be concluded
10. Complaints and liability for defects
- The client may report defects in writing within 15 days of handover to info@webbie.cz
- The provider will fix legitimate defects free of charge within a reasonable timeframe, typically 14 business days
- The following are not considered defects: client or third-party interference, incompatibility with requirements not in the original scope, third-party service outages, requirements beyond the quotation scope
11. Contract withdrawal
- The client may withdraw from the Work Contract at any time by written notice. In such case, the client pays a proportional part of the price for work already performed.
- The provider may withdraw if the client: fails to cooperate for more than 30 days, or is in payment arrears for more than 30 days
- Upon withdrawal, the provider hands over the work in progress after payment for work already performed
12. Limitation of liability
- The provider is not liable for damages caused by third-party service outages or incorrect use of the work
- Total provider liability is limited to the total price of the work under the Work Contract
- The provider is not liable for lost profits or indirect damages
13. Final provisions
- These terms are effective from the moment of publication
- Any changes in specific cooperation will always be confirmed in writing
- The current version of these terms is always available at webbie.cz/en/terms
